Agreement to our Legal Terms

We are ENTRADEK LIMITED (“Company,” “we,” “us,” “our”), a company registered in the United Kingdom (Company number 15690000), with office address at Suite 4546 Unit 3a, 34-35 Hatton Garden, Holborn, London, United Kingdom, EC1N 8DX.

We operate the website https://entradek.uk (the “Site”), the mobile application Entradek (the “App”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”) — for training, consulting and marketing.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and ENTRADEK LIMITED, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the “Last updated” date of these Legal Terms. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be deemed to have accepted the changes by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services.

1. Our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

By sending us Submissions (questions, comments, suggestions, feedback or other information about the Services), you agree to assign to us all intellectual property rights in such Submission. By posting Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide license to use, copy, reproduce, distribute, publish, broadcast, display, and exploit your Contributions for any purpose.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are not under the age of 13; (5) you are not a minor, or if a minor, you have received parental permission; (6) you will not access the Services through automated or non-human means; (7) you will not use the Services for any illegal or unauthorized purpose; and (8) your use of the Services will not violate any applicable law or regulation.

4. User Registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine that such username is inappropriate, obscene, or otherwise objectionable.

5. Purchases and Payment

We accept forms of payment including Visa, Mastercard, and other methods we make available on the Site from time to time (including electronic wallets where offered).

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. Sales tax or VAT may be added as required. We may change prices at any time. Currency displayed at checkout applies to your purchase.

You agree to pay all charges at the prices then in effect and authorize us to charge your chosen payment provider. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We reserve the right to refuse any order placed through the Services.

6. Subscriptions

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. The length of your billing cycle is monthly (unless another cycle is stated at purchase).

Cancellation

All purchases are non-refundable. Your cancellation will take effect at the end of the current paid term. If you have any questions or are unsatisfied with our Services, please email us at support@entradek.uk.

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

7. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

Systematically retrieve data or other content from the Services to create a collection, compilation, database, or directory without written permission from us.
Trick, defraud, or mislead us and other users, especially to learn sensitive account information.
Circumvent, disable, or otherwise interfere with security-related features of the Services.
Disparage, tarnish, or otherwise harm us and/or the Services.
Use any information obtained from the Services to harass, abuse, or harm another person.
Make improper use of our support services or submit false reports of abuse or misconduct.
Use the Services in a manner inconsistent with any applicable laws or regulations.
Upload or transmit viruses, Trojan horses, or other material that interferes with the Services.
Engage in any automated use of the system (scripts, bots, scrapers) except as permitted.
Delete the copyright or other proprietary rights notice from any Content.
Attempt to impersonate another user or person.
Interfere with, disrupt, or create an undue burden on the Services.
Attempt to bypass any measures designed to prevent or restrict access to the Services.
Copy or adapt the Services’ software, or reverse engineer any part of the Services except as permitted by law.
Use the Services as part of any effort to compete with us or for any revenue-generating endeavor without authorization.
Sell or otherwise transfer your profile.
Record course content or open it from multiple devices in violation of our access rules — such conduct may result in account deletion without refund and, where appropriate, legal action.

8. User Generated Contributions

The Services may invite you to chat, contribute to, or participate in forums and other features. Contributions may be viewable by other users. When you create Contributions, you represent and warrant that they do not infringe third-party rights, are not false or misleading, are not spam or unauthorized advertising, are not obscene or abusive, do not violate privacy or publicity rights, and otherwise comply with these Legal Terms and applicable law. Violation may result in termination or suspension of your rights to use the Services.

9. Contribution License

By posting Contributions, you grant us a worldwide, royalty-free, transferable license to host, use, copy, reproduce, disclose, publish, display, and distribute such Contributions. You retain ownership of your Contributions. We have the right to edit, re-categorize, or delete Contributions at any time without notice.

10. Guidelines for Reviews

When posting a review, you should have firsthand experience with the person/entity being reviewed; reviews should not contain offensive, racist, or hateful language; should not contain discriminatory references; should not reference illegal activity; should not be affiliated with competitors when posting negative reviews; and should not contain false or misleading statements. We may accept, reject, or remove reviews in our sole discretion.

11. Mobile Application License

If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on devices you own or control, strictly in accordance with these Legal Terms. You shall not reverse engineer the App, modify it, violate laws in connection with its use, remove proprietary notices, use it for unauthorized commercial purposes, or make it available for simultaneous use by multiple users in violation of these terms. Additional terms may apply when the App is obtained from Apple App Store or Google Play.

As part of the Services, you may link your account with third-party accounts. Your relationship with those providers is governed solely by your agreements with them. We are not responsible for Social Network Content. You may disable the connection at any time via account settings or by contacting us.

13. Third-Party Websites and Content

The Services may contain links to third-party websites and content. We are not responsible for such websites or content. If you leave the Services, these Legal Terms no longer govern. Purchases through third-party sites are solely between you and the applicable third party.

14. Advertisers

We may allow advertisers to display advertisements in certain areas of the Services. We simply provide the space to place such advertisements and have no other relationship with advertisers unless stated otherwise.

15. Services Management

We reserve the right, but not the obligation, to: monitor the Services for violations; take appropriate legal action against anyone who violates the law or these Legal Terms; refuse, restrict, or disable Contributions; remove content that is burdensome to our systems; and otherwise manage the Services to protect our rights and facilitate proper functioning.

16. Privacy Policy

By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are operated under United Kingdom law. If you access the Services from another region, you consent to the transfer and processing of your data as described in our Privacy Policy.

17. Term and Termination

These Legal Terms remain in full force while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to any person for any reason, including breach of these Legal Terms. We may terminate your use or delete your account and any content you posted at any time, without warning, in our sole discretion. If we terminate or suspend your account, you are prohibited from registering a new account under your name or another name. We reserve the right to take appropriate legal action.

18. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime.

19. Governing Law

These Legal Terms shall be governed by and construed exclusively in accordance with the laws of England and Wales (United Kingdom). The courts of England and Wales shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

20. Dispute Resolution

You agree to irrevocably submit all disputes related to these Legal Terms to the exclusive jurisdiction of the courts of England and Wales. Nothing in this section limits any mandatory consumer protections that may apply under applicable law where you reside, to the extent they cannot be waived.

21. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update information at any time, without prior notice.

22. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES’ CONTENT. WE WILL NOT BE LIABLE FOR ERRORS, UNAUTHORIZED ACCESS, INTERRUPTIONS, VIRUSES, OR ANY LOSS OR DAMAGE ARISING FROM USE OF THE SERVICES. Educational content about trading and markets is for learning purposes only and is not investment advice.

23. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

24. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, arising out of: your Contributions; use of the Services; breach of these Legal Terms; breach of your representations; violation of third-party rights; or any harmful act toward another user.

25. User Data

We will maintain certain data that you transmit to the Services. Although we perform routine backups, you are solely responsible for all data that you transmit. You agree that we shall have no liability to you for any loss or corruption of such data.

26. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications. You agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices and records of transactions.

28. Miscellaneous

These Legal Terms and any policies posted by us on the Services constitute the entire agreement between you and us. Our failure to enforce any provision shall not operate as a waiver. If any provision is unenforceable, the remaining provisions remain in effect. There is no joint venture, partnership, employment, or agency relationship created by these Legal Terms.
